Terms of Service

1. Acceptance

By creating an account or using Instila (instila.net), you agree to these terms. If you are using Instila on behalf of a company or other legal entity, you agree to these terms on that entity's behalf and represent that you have the authority to do so.

2. What Instila provides

Instila is a knowledge extraction service. It reads the business tools you connect, identifies candidate skills — structured rules about how your company operates — and presents them for your review. You validate each candidate before it enters your skills file. We provide this as a hosted service over the internet.

We do not guarantee that Instila captures all of your company's knowledge, that extracted skills are complete or error-free, or that the service will be available at any particular time. Always have humans review candidate skills before acting on them — that is the purpose of the validation queue.

3. Your data

You own your data. Instila reads only the sources you explicitly connect. We store excerpts as evidence for candidate skills, not full source content. You can disconnect any source or close your account at any time; your data will be deleted as described in our Privacy Policy. We do not train AI models on your data.

4. Acceptable use

You agree not to:

  • Connect sources containing personal data you are not authorised to process.
  • Attempt to reverse-engineer, scrape, or abuse the Instila service or its underlying AI models.
  • Share account credentials with people outside your organisation.
  • Use Instila for any unlawful purpose or in violation of any applicable regulation.
  • Attempt to circumvent any usage limits, access controls, or security measures.

We may suspend or terminate accounts that violate these terms without notice where necessary to protect the service or other users.

5. Free trial

The 14-day free trial gives you access to all features, capped at 3 connected sources, with no credit card required. At the end of the trial your account pauses — you will not be charged and your data will not be deleted. You can subscribe at any time to continue.

6. Paid plans and billing

Paid plans are billed monthly and renew automatically. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months.

We reserve the right to change plan pricing with 30 days' notice. If you do not accept a price change, you may cancel before it takes effect.

7. Service availability

We target 99.9% uptime for the web application and 99.5% for extraction pipelines. We will notify you in advance of scheduled maintenance. Our liability for downtime is limited to a service credit equal to the value of the affected period, applied to your next invoice.

8. Intellectual property

Instila's software, design, documentation, and brand are our property. Your source content, the excerpts derived from it, and the skills validated by your team are yours. Nothing in these terms transfers intellectual property from you to us.

9. Disclaimer of warranties

Instila is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that extracted skills will be accurate or complete.

10. Limitation of liability

To the maximum extent permitted by applicable law, Instila's total liability to you for any claims arising from or related to these terms or the service is limited to the amount you paid to Instila in the twelve months preceding the claim. In no event will Instila be liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

You may close your account at any time. We may suspend or terminate your account if you violate these terms, if required by law, or if we discontinue the service. On termination, your data will be deleted in accordance with our Privacy Policy.

12. Changes to these terms

We will notify you by email at least 14 days before any material change to these terms. Your continued use of the service after the effective date of a change constitutes acceptance of the updated terms.

13. Governing law and disputes

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising from these terms will be resolved in the courts of Toronto, Ontario, unless we both agree to an alternative process.
